TERMS OF AGREEMENT

The following are the contract terms of the agreement to rent vendor space at the SFIAC Festa. As a Participant, your acceptance of these terms shall constitute a binding agreement. It is agreed that each Participant will abide by all terms listed in this agreement.

SFIAC. The word "SFIAC" as used herein shall mean the Festa of The San Francisco Italian Athletic club, their officers, agents and any employees acting for it, in the management of this event.

ELIGIBLE PARTICIPANTS. The SFIAC reserves the right to determine whether any company or product is eligible under the standards for inclusion in the festival.

ELIGIBLE PRODUCTS. All products and services to be sold, offered or referred to during the SFIAC must be included on the Participation Agreement. SFIAC reserves the right to exclude the sale of any product based on overall show presentation, or that are in conflict with exclusive contracts held by SFIAC with other Participants. Participant will be notified in advance of any such exclusion and have the right at the time of the application to determine if they still want to participate.

All exhibitor materials must be kept inside their tent space, and the

sidewalks and streets must be kept free of materials. Distribution of samples and literature is strictly limited to the confines of the Participant’s booth. Also, voice and/or music amplification must be kept to sufficiently low volume. All exhibitors must

conduct themselves in a respectful, cooperative manner appropriate to the integrity of the attendees, fellow Participants and the show management staff. a) Participant requests the following tent dimensions (please choose one) and agree to the rental cost: Such space will only be provided during the dates and hours that the Festa is in operation. $___________The cost of renting a _________ tent with canopy and sidewalls from SFIAC, including set-up and teardown, is _______for the duration of the 1 day festival. This includes one 8’ table and two

up and teardown, is $________ for the duration of the 1 day festival. Additional tables are available for a rental fee of $10.00, and additional chairs are available for a rental

fee of $2.00.

First time Participants are required to purchase SFIAC uniform banner signage, at the cost of $_____ per 3’ x 10’ banner. These banners will be hung above the Participant’s tent by the SFIAC staff. SFIAC will store banner at end of festival, unless Participant makes arrangements to retrieve banner at

conclusion of festival. Participant will pay SFIAC a purchase fee of $__________for the follow

printed name: ________________________________________________________________________ In addition to the fee to participate, SFIAC will also collect the following costs: Health Department Permit; City of San Francisco Vendor Permit; and if applicable: additional cleaning and/or electrical charges; refrigeration rental; ice charges; special sign charges; grease removal charges; propane charges, etc.

BOOTH ASSIGNMENTS. SFIAC staff will assign booth location to Participants. Consideration will be given to special needs. However, we will assign according to the best interest of the show. . LOCATION & SCHEDULE: 1630 STOCKTON STREET, SAN FRANCISCO, CA 94133

(SET-UP HOURS: Saturday, September 18, 2009 9:00 AM to 10:00AM

*All booths must be staffed throughout the festa, and set-up 30 minutes prior to

opening, or Participant may forfeit exhibit space.

*Dismantling will begin at the closing time.

SUBLEASING. Participants may not sublet their spaces, or any part thereof.

COMPLIANCE WITH LAWS/STANDARDS. Participants are responsible for meeting all city/state resale-licensing agreements. Participant is responsible for collecting California Sales Tax at the Festa. Participant further agrees to indemnify and hold harmless SFIAC.

INSURANCE. Insurance is the responsibility of the Participant and is recommended. SFIAC is not responsible for replacement of lost or stolen goods. Participants are responsible for obtaining their own general liability insurance for the show dates, including set-up and tear-down. Participants will indemnify SFIAC and the City of San Francisco for claims/suits arising between Participants and attendants.

GENERAL AND PRODUCT LIABILITY INSURANCE: Each Participant will provide an insurance policy in the amount of $__________ combined single limit covering bodily injury, including products liability, and property damage resulting from Vendor’s participation in the 2009 SFIAC Festa. Such insurance will be in effect from: 12:01AM September 18, 2009 through 12:59PM September 18, 2009. Participants should include with this agreement certificates of insurance indicating the Participant has the following coverage in effect through September 18th, 2009.

Employer’s Liability Insurance in the amount of $100,000/$500,000/$100,000.

PROPERTY INSURANCE:

covered by Worker’s Compensation Insurance, or exempted from such insurance by State of California Law, are permitted to work. 2. Automobile Liability Insurance with coverage for bodily injury and property damage in an amount not less then $300,000 for any vehicle to be driven onto the festival site.

The Feast of San Gennaro L.A. assumes no liability for loss, theft or damage to Participant’s equipment.

SURRENDER OF PREMISES. At the conclusion of the festival, Participants must surrender the premises to SFIAC in the same condition as when originally occupied. SFIAC will remove any enclosures, structures, facilities and tents used in connection with the festival. If Participant fails to remove all of its property an

tetion of the festival, SFIAC may (a) treat such property as abandoned, in which event it will become property of SFIAC; (b) treat the same without liability to Participant for loss thereof.

Participant agrees to follow all rules and regulations stated within the Participation Agreement, including but not limited to compliance with advertised hours and days of operations.

DEFAULT. If a Participant is in default under any provision of this agreement, SFIAC, will notify Participant of such default and Participant will have a reasonable time to remedy such default. If Participant does not remedy such default within a reasonable time, SFIAC may terminate this agreement, expel Participant from the festival, and re-let the premises to another party without further liability or obligation to Participant. SFIAC will control all aspects of the 2009 SFIAC Festa. It reserves the right in its sole discretion to oversee and make whatever arrangements it deems appropriate for security, crowd control, clean-up, publicity and any other matters affecting the overall festival operation.

PAYMENT. Participant must include all fees with registration form.

CANCELLATION POLICY. In the event of a Participant cancellation, the fee is not refundable.
